VOLUNTARY ANNOUNCEMENT REGARDING THE ACQUISITION OF THE GRAIN

MANAGEMENT BUSINESS OF MGK BEDRYFSMAATSKAPPY EIENDOMS BEPERK



Shareholders are referred to the SENS announcement of 27 May 2013, (“the previous

SENS announcement”) wherein shareholders were advised that AFGRI Operations Limited,

a wholly owned subsidiary of the Company (“AFGRI Operations”) and MGK

Bedryfsmaatskappy Eiendoms Beperk (“MGK”), have entered into binding sale of business

and lease agreements in terms of which AFGRI Operations will, upon fulfilment of certain

suspensive conditions, acquire the Grain Management business of MGK conducted at the

silos in Pretoria West, Brits, Northam as well as Battery as a going concern and will lease

the Silo Complexes from MGK (“the Transaction”).



Further to the previous SENS announcement shareholders are now advised that all

suspensive conditions have been met including Competition Commission approval and the

Transaction will be implemented with effect from 1 December 2013.
