Shareholders are referred to the Circular to Shareholders, dated 15
November 2005, relating to the Black Economic Empowerment ("BEE")
transaction, which requires the BEE parties to utilise all
distributions to acquire additional ordinary shares in Discovery in
the market. Shareholders are accordingly advised of the following
