NO CHANGE STATEMENT AND NOTICE OF ANNUAL GENERAL MEETING

Audited results

With regard to the audited results for the year ended 31 July 2013, shareholders are
advised that the Annual Integrated Report which includes the Annual Financial
Statements and the Notice of the Annual General Meeting were distributed to
shareholders on 31 October 2013. The Annual Financial Statements contained no
modifications to the audited results which were published on SENS on 1 October 2013.

The Annual Financial Statements were audited by KPMG Incorporated. Their report is
available for inspection at the Company`s registered office.

Notice of annual general meeting

Notice is hereby given that the fourteenth Annual General Meeting of Phumelela
Gaming and Leisure Limited will be held at 09h00 on Wednesday 4 December 2013 in
the Bold Cherry Room, Turffontein Racecourse, 14 Turf Club Street, Turffontein,
Johannesburg to transact the business as stated in the annual general meeting notice
forming part of the annual financial statements.
