Notice under sections 708A(5)(e) of the Corporations Act 2001 (Cth)
Resource Generation Limited (the Company) previously announced a non-renounceable
pro-rata entitlement offer of 1 Resource Generation Limited fully paid ordinary share
for every 1 Resource Generation Limited share. The offer closed on 23 July 2013 and
the shortfall shares were issued on 21 October 2013 in accordance with ASX Listing
Rule 7.2 Exception 3. This notice is given by Resource Generation Limited under
section 708A(5)(e) of the Corporations Act 2001 (Cth) (the Act). The Company advises
that:

(a)    On 21 October 2013 it issued 237,161,400 new ordinary shares to Nedcor Bank
       Nominees, Barsington Limited, Shinto Norii Inc and Berne No 132 Nominees
       Pty Limited;
(b)    the ordinary shares were issued without disclosure to investors under Part 6D.2
       of the Act;
(c)    this notice is being given under sections 708A(5)(e) of the Act;
(d)    as at the date of this notice, the Company has complied with:
       (i)    the provisions of Chapter 2M of the Act as they apply to the Company;
              and
       (ii)   section 674 of the Act as it applies to the Company; and
(e)    as at the date of this notice, there is no excluded information of the type referred
       to in sections 708A(7) and 708A(8) of the Act.
