Results of the annual general meeting and dividend declared AFGRI Limited (Incorporated in the Republic of South Africa) Registration Number: 1995/004030/06 ISIN: ZAE000040549 JSE share code: AFR ("AFGRI” or “the Company”) RESULTS OF THE AGM Shareholders are advised that, at the Company’s AGM held today, 18 October 2013, all the ordinary and special resolutions as set out on pages 188 to 192 of the Company’s integrated annual report 2013 were approved by the requisite majority of shareholders present and eligible to vote at the meeting except for the special resolution regarding financial assistance in terms of Section 44 of the Companies Act 71 of 2008 (the “Companies Act”). DIVIDEND Shareholders are also reminded that the directors of the Company have, in terms of section 46 of the Companies Act, declared a final gross cash dividend of 3,30 cents per share (2,805 cents per share net of dividend withholdings tax, where applicable)for the year ended 30 June 2013. The dividend has been declared from income reserves and no secondary tax on the Companies credits has been used. A dividend withholding tax of 15% will be applicable to all shareholders who are not exempt.
