CHANGES TO THE BOARD OF DIRECTORS OF JD GROUP

In compliance with paragraph 3.59(a) and 3.59(c) of the
Listings Requirements of the JSE Limited, shareholders are
hereby advised that certain changes, as set out below, have
been made to the board of directors of JD Group (“the Board”),
as well as to the reporting structures of certain key
functions.

Peter Mark Griffiths has been appointed as an executive
director of JD Group with effect from 9 October 2013.
In line with the Group’s strategic focus to reduce the cost
base and complexity in the business thereby enhancing
efficiencies, the Group has restructured its Furniture Retail
business into four clusters dedicated to the specific
consumer/market segments they serve.

Peter will be responsible for the reconstituted Furniture
Retail business, the Consumer Finance operations and Supply
Chain Services. Peter will report directly to David Sussman,
the   Group’s   Chief  Executive  Officer.   The  automotive,
Steinbuild and cash retail businesses will continue to report
directly to David Sussman.

Peter is a chartered accountant and chartered financial
analyst, and spent the past nine and a half years in an
operational industry role as the CEO of Bravo Group where he
gained an in-depth understanding of the entire furniture
supply chain. Prior to that he spend five years in the banking
industry.   Peter has an in-depth understanding of the many
challenges and opportunities facing the industry.

Peter will also become a member of the JD Group Executive
Committee and be appointed to the boards of various JD Group
subsidiaries.

Following Peter’s appointment, the Board remains fully King
III compliant in that a majority of its members are non-
executive directors, of whom the majority is independent.
