GRANT AND ACCEPTANCE OF RIGHTS TO PARTICIPANTS IN SHARE PLANS

In compliance with Rules 3.63 to 3.74 of the Listings Requirements of the
JSE Limited, the following information is disclosed:

The following directors of Metrofile Holdings and its major subsidiary,
Metrofile (Pty) Limited have been granted and accepted rights to
participate in the Company’s share based incentive plans on 6 September
2013 as follows:

Share appreciation rights, which are subject to performance conditions and
vest after three years, at a grant price of R 5,00:

Graham Wackrill 559,683 rights (direct beneficial)
Richard Buttle 390,551 rights (direct beneficial)
Guy Kimble 183,139 rights (direct beneficial)

All rights are subject to the rules of the share incentive plan, as
approved by shareholders at the general meeting held on 9 October 2008 and
amendments thereto approved by shareholders at the annual general meeting
held on 28 November 2011.

The transasactions were done off-market and clearance to deal was obtained
in terms of paragraph 3.66 of the JSE Limited Listings Requirements.
