REVISED OFFER (“Revised Offer”) Shareholders are referred to the announcement released on SENS on 5 March 2013 (“Initial Offer”) and the unconditional mandatory offer circular posted on 22 April 2013 which stated that the unconditional mandatory offer to Infrasors Holdings Limited (“Infrasors”) minority shareholders was expected to close at 12:00 on Friday 7 June 2013. Afrimat has decided (with the prior approval of the Takeover Regulation Panel) to extend the Initial Offer’s closing date with the Revised Offer’s closing date being 12:00 on Friday, 5 July 2013. Afrimat has also decided to increase the offer consideration for the Infrasors shares from 35 cents per share to 65 cents per share, which is at a premium to the current JSE price of the Infrasors shares, in order to encourage minority shareholders to accept the Revised Offer. The reason for this approach is to simplify the incorporation of Infrasors into the Afrimat stable. Infrasors shareholders who accepted the Initial Offer, prior to the increase in the offer consideration will be paid the increased offer consideration reflected in this Revised Offer. Infrasors shareholders who have accepted the Initial Offer should note the amended salient dates for payment of the offer consideration detailed in paragraph 5 below. 2. FUNDING OF THE REVISED OFFER CONSIDERATION Afrimat has confirmed to Infrasors that sufficient cash resources are available for the payment of the offer consideration in terms of the Initial Offer and the Revised Offer, and, as required in terms of the Companies Act and the Companies Regulations, 2011, The Standard Bank South Africa Limited has provided the necessary guarantees to the TRP to satisfy the full offer consideration payable in terms of the Initial Offer and the Revised Offer. 3. INFRASORS INDEPENDENT BOARD The Infrasors Independent Board will consider the terms of the Revised Offer consideration within the required period and will in due course announce to shareholders its views thereon together with other relevant information. 4.
