NO CHANGE STATEMENT AND NOTICE OF ANNUAL GENERAL MEETING
Shareholders of Exxaro are advised that the audited condensed annual financial
statements for the year ended 31 December 2012 issued on 23 April 2013 as part of the
integrated report are unchanged from the reviewed group financial results which were
published on SENS on 07 March 2013 and in the Press on 08 March 2013. In addition to
the integrated report, the full annual financial statements will be available on the
Company’s website from 23 April 2013 and shareholders can also request to receive a
copy of the full annual financial statements from the Group Company Secretary.
Notice is hereby given that the twelfth annual general meeting of shareholders of Exxaro
will be held at the Exxaro Corporate Centre, Roger Dyason Road, Pretoria West, South
Africa, at 10:00 on Friday, 24 May 2013 to consider, and if deemed fit, pass with or
without modification, the resolutions as set out in the notice of annual general meeting
forming part of the integrated report.
The board of directors of the Company has determined, in accordance with section 59 of
the Companies Act 71 of 2008, as amended, that the record date for shareholders to be
recorded as such in the shareholders’ register, maintained by the transfer secretaries of
the Company, to be able to attend, participate in and vote at the annual general meeting
is Friday, 17 May 2013. Therefore the last day to trade in the Company’s shares on the
JSE to be recorded in the share register on the record date is Friday, 10 May 2013.
