Update announcement regarding the extension of time to convene the annual general meeting Command Holdings Limited (Incorporated in the Republic of South Africa) (Registration number 1999/014759/06) Share Code: CMA ISIN Code: ZAE000023131 (“Command” or “the Company”) UPDATE ANNOUNCEMENT REGARDING THE EXTENSION OF TIME TO CONVENE THE ANNUAL GENERAL MEETING Shareholders are advised that the Company has received a ruling on 4 April 2013 from the Companies Tribunal of South Africa granting Command an extension of time to convene the annual general meeting of shareholders (“AGM”) in respect of 2010 and 2011 financial years. The Company lodged an application requesting such an extension and provided reasons thereof including: . the pending court case that relates to the shareholders regarding the shareholding of a major entity within the group and such dispute having a fundamental and material impact on the preparation and presentation of the annual financial statements. . indication from shareholders that should such AGM be held, the resolution to approve the annual financial statements will be voted against which will result in a stalemate pending the determination by the court. . it is not prudent and in the best interest of the Company and its stakeholders to convene the AGM for 2010 and 2011 until such time as the dispute relating to shareholding and the JV agreement entered into between the Ikwezi Investment Trust and Command Security Services (Pty) Ltd on 9 June 2000 has been finalised by the Supreme Court of Appeal and/or amicably resolved in the interim. Command intends to convene the AGM in respect of 2010 and 2011 financial years on or before 30 June 2013 and to release and publish the annual financial statements for 2010 and 2011 on or before 31 May 2013.
