DEALING IN SECURITIES
In compliance with Rules 3.63 - 3.74 of the JSE`s Listings
Requirements, the following information relating to dealings in
Sun International shares is disclosed:


1   RESTRICTED SHARE PLAN – RSP SHARES

     Forfeitable shares (50%, 25% and 25% vesting after 3, 4 and 5
     years respectively), subject to continued employment for the
     duration of the vesting periods, awarded to:

     Executive directors:

     G E Stephens       85 168 forfeitable shares based on a price
                        of R101.33 per share for a consideration
                        of R8,630,073.44(offer accepted 14 March
                        2013 but effective as at 01 February 2013,
                        being date of appointment as Chief
                        Executive of the company)

     A M Leeming        25 174 forfeitable shares based on a price
                        of R102.92 per share for a consideration
                        of R2,590,908.08(offer accepted 14 March
                        2013 but effective as at 01 March 2013,
                        being the date of appointment as Chief
                        Financial Officer of the company)

     The awards have been granted (off market) in terms of the
     rules of the company’s Restricted Share Plan as adopted and
     approved by shareholders of the company.

     Clearance has been received in terms of par 3.66 of the JSE’s
     Listings   Requirements  in   respect   of   all  the   above
     transactions. All interests in the transactions are direct
     and beneficial.
