Shareholders are advised that RGT SMART is in advanced
negotiations regarding the proposed acquisition of the
business of Douglas Parker Associates, a Research and
Business    Development    consultancy,   from    Lightstone
Proprietary Limited, a related party to the company.  The
negotiations, if  successfully concluded, may have a
material effect on the price of the company’s securities.

Shareholders are accordingly advised to exercise caution
when dealing in the company’s securities until a full
announcement is made.
