APPOINTMENT OF INDEPENDENT NON-EXECUTIVE EDCON BOARD MEMBERS

Edcon and Edcon Holdings (Proprietary) Limited wish to inform
bondholders of the appointment of the following Independent
Non-Executive Board members to the main board as well as the
Audit and Risk Committees, effective 1 January 2013:

David Hugh Brown holds a Bachelor of Commerce, CTA, CA(SA) and
until 30 June 2012, was the Chief Executive Officer of Impala
Platinum Holdings (“Implats”). He joined the Implats Board in
February 1999 as Financial Director and was appointed to CEO
in July 2006. Prior to this he worked mainly for Exxon Mobil
from 1991 to 1995 in Europe. David was appointed as a Non-
Executive Director of Vodacom Group Limited in January 2012
and Non-Executive Chairman of ASX, AIM and JSE- listed Coal of
Africa Limited in August 2012.

Thabo Felix Mosololi holds a Bachelor of Commerce, Honours,
CA(SA) and is currently the Operations Director of Tsogo Sun
Gaming, a 100% subsidiary of Tsogo Sun Holdings Limited. He
joined Tsogo Sun Gaming in 2002 as Finance Director. Thabo
was the Chief Executive Officer of Gobodo Incorporated
Chartered Accountants from 1996 to 2000 and has also served on
numerous other boards since. He currently serves on the board
of Evraz Highveld Steel and Vanadium Limited.

Louis von Zeuner holds a Bachelor of Economics from the
University of Stellenbosch. He retired as the Deputy Group
Chief Executive of the Absa Group on 31 December 2012. Over
his 31 year career at Absa he has served on several industry
boards and subsidiary boards of the group across Africa. He
also completed several international development programmes.
Louis was recently appointed as a Non-Executive Director of
Telkom SA SOC Limited.

Commenting on the announcement, Edcon CEO Jürgen Schreiber,
said: “We are very pleased to welcome David, Thabo and Louis
to the Board. They bring with them a wealth of experience from
diverse industries which will only strengthen our group.”
These appointments will also enable Edcon Holdings
(Proprietary) Limited and Edcon (Proprietary) Limited, as
issuers of traded debt instruments, to align with the recent
opinion of the Companies and Intellectual Property Commission
in respect of the new Companies Act, 2008.
