PLACEMENT OF 22 000 000 ROCKCASTLE SHARES

Further to the announcement on 3 December 2012, Rockcastle is pleased to
announce that subsequent to the authority granted to it to issue 100 000 000
additional Rockcastle shares, it has placed 22 000 000 new Rockcastle shares
with invited investors (“new Rockcastle shares”).

The new Rockcastle shares were placed at ZAR9.64 per share, raising a total
amount of ZAR212 080 000.

The placement has taken place through the Company’s South African share
register.

The new Rockcastle shares will list and trade on the Stock Exchange of
Mauritius and the JSE from 7 December 2012. Invited investors that
subscribed for new Rockcastle shares will have their CSDP accounts credited
with the new Rockcastle shares on 7 December 2012.
