CHANGE IN DIRECTOR’S DESIGNATION

Shareholders are advised that Spur’s board of directors
(“the Board”) resolved that, with effect from 26 November
2012, Dean Hyde, currently a non-executive director on the
Board, is an independent non-executive director in terms of
the provisions of King III.      The decision follows the
conclusion of a transaction whereby Mr Hyde disposed of all
his direct and indirect interests in Spur group franchises.
Mr Hyde has 18 years’ service with the Company and has
served as a non-executive director on the Board since 2004.
Mr Hyde previously served on the Board’s Audit and
Nominations Committees and currently chairs the Board’s
Remuneration Committee.

As a result of this change in designation, the composition
of the Board’s Remuneration Committee complies with the
recommendations of King III and accordingly complies with
paragraph 3.84(d) of the JSE Listings Requirements in this
regard.
