RESULTS OF GENERAL MEETING


Group Five shareholders are advised that, at the general meeting of the Company held
at the registered office of Group Five, 371 Rivonia Boulevard, Rivonia, Sandton today,
all the ordinary and special resolutions relating to:

   -   the proposed amendments to the existing Group Five black economic
       empowerment transaction; and

   -   the adoption of the Group Five Long Term Incentive Plan,

were passed by the requisite majority of shareholders present or represented by proxy.
