SECTION 122 NOTICE


In accordance with Section 3.83(b) of the JSE Listings
Requirements, African Dawn hereby confirms that the Company
has received a notice in terms of Section 122 of the Companies
Act, No. 71 of 2008.


PIM Investments 20 Trust (“PIM”) has informed African Dawn
that they have acquired a beneficial interest in the Company.
Following the notice received on 23 November 2012 PIM now
holds 10.17% of the issued ordinary share capital of the
Company.
