NO CHANGE STATEMENT AND NOTICE OF ANNUAL GENERAL MEETING
Shareholders are advised that the annual report for the year ended 30 June 2012 was dispatched to
shareholders on 22 November 2012 and contains no modifications to the reviewed results published on
SENS on 26 September 2012.
Notice is hereby given that the annual general meeting of shareholders of Hardware Warehouse will be
held at 12:00 on Friday, 21 December 2012 at the Hardware Warehouse boardroom, Triple Point,
52 Quenera Drive, Beacon Bay, East London to conduct the business stated in the notice of the annual
general meeting, which is contained in the annual report.
The board of directors of the Hardware Warehouse determined that, in terms of section 62(3)(a), as read
with section 59 of the Companies Act, 2008 (Act 71 of 2008), the record date for the purposes of
determining which shareholders of the Company are entitled to participate in and vote at the annual general
meeting is Friday, 14 December 2012. Accordingly, the last day to trade Hardware Warehouse shares in
order to be recorded in the Register to be entitled to vote will be Friday, 7 December 2012.
