RESULTS OF GENERAL MEETING

Basil Read shareholders (“Shareholders”) are referred to the circular to Shareholders dated 28 September 2012
regarding the Broad Based Black Economic Empowerment (“BBBEE”) transaction for an effective holding of
25.1% by SIOC CDT Investment Holdings Proprietary Limited (“SIOC”) of the total issued share capital of Basil
Read and related matters (“the Transaction”).

Shareholders are advised that at the general meeting of Shareholders held today, all the special resolutions and
all the ordinary resolutions (as amended per the SENS announcement on 5 October 2012) were approved by the
requisite majority of Shareholders to effect the Transaction. The special resolutions will be filed, and registered
where necessary, with the Companies and Intellectual Property Commission (“CIPC”) in due course.

Shareholders are therefore advised that the only remaining conditions precedent to the Transaction are:

- the registration (where necessary) of the aforesaid resolutions with CIPC; and
- the approval of the JSE Limited in respect of the listing of the Initial Ordinary Shares, as defined in the
  circular.
