REPORT ON PROCEEDINGS AT ANNUAL GENERAL MEETING

At the twenty fourth (24th) annual general meeting of the
shareholders of Distell held today, 17 October 2012, all the
ordinary and special resolutions proposed at the meeting were
approved by the requisite majority of votes.

The special resolutions will be lodged for registration with the
Companies and Intellectual Property Commission in due course.
