ECONOMIC EMPOWERMENT (“BBBEE”) TRANSACTION AND THE CANCELLATION OF PPC ORDINARY
SHARES HELD BY PPC CEMENT (PROPRIETARY) LIMITED

Introduction
PPC ordinary shareholders (“Shareholders”) are referred to the transaction announcement dated 12 July 2012
and the posting of a circular announcement dated 20 August 2012 (“circular announcement”) regarding, inter
alia, PPC’s proposed 6.5% BBBEE transaction and the cancellation of PPC ordinary shares held by PPC
Cement (Proprietary) Limited, (collectively, the “Transaction”).

Results of General Meeting
Shareholders are advised that, at the general meeting of Shareholders held on Tuesday, 18 September 2012,
all ordinary and special resolutions proposed at the general meeting were approved by the requisite majority
shareholders of PPC.

As per the timeline contained in the circular announcement, PPC will immediately begin to implement the
Transaction and expects to announce confirmation of finalisation on 28 September 2012.
