Change in directorate Vodacom Group Limited (Incorporated in the Republic of South Africa) (Registration number 1993/005461/06) Share code VOD ISIN ZAE000132577 (“Vodacom Group”) Change in directorate In accordance with paragraph 3.59 of the JSE Listings Requirements, shareholders are advised that a number of directorate changes have been affected today, Thursday 6 September 2012: - Mr Paolo Bertoluzzo, non executive director, has taken up a new role as Chief Executive Officer: Southern Europe at Vodafone. In view of this, Paolo will step down from the Board with effect from today. - Ms Karen Witts, non executive director, will be leaving Vodafone at end September 2012 to take up a position at another FTSE top 100 company as a result she had resigned from the Board with effect from today - Ms Serpil Timuray (B Admin) has joined the Board with effect from today. Serpil is the CEO of Vodafone Turkey, having joined Vodafone in January 2009. Serpil was the former CEO of Danone Turkey and began her career in 1991 with Procter & Gamble where she was later appointed to the Executive Committee of P&G Turkey. Serpil was honoured as “The Professional of the Year” in Turkey twice in a row in 2011 and 2010 and as a “Young Global Leader” for 2009 by the World Economic Forum. - Mr John Otty (MA Electronic Engineeering) (ACA) also joined the Board with effect from today. John is the Vodafone CFO for Africa, Middle East and Asia Pacific region. He joined Vodafone in December 1992 from KMPG Peat Marwick and has held a number of senior executive positions in Vodafone including that of group technology financial director, interim CFO of Vodafone India and Vodafone plc group internal audit director. - As previously reported Mr Pieter Uys, the outgoing CEO stepped down from the Board today and was replaced by Mr Shameel Aziz-Joosub. Shameel will also take up the role of managing director of Vodacom South Africa. Mr Peter Moyo, Chairman of the Board thanked Paolo and Karen for their valuable contribution to Vodacom and wished them much success in their respective new roles. He paid tribute to Pieter for his dedication and commitment as CEO for the past 4 years. Peter stated further that he welcomed the appointments of Serpil, John and Shameel and was looking forward to their contribution on the Board.
