UPDATE TO SHAREHOLDERS REGARDING THE CONVERSION OF WESIZWE PAR
VALUE SHARES TO SHARES OF NO PAR VALUE (“the Share Capital
Conversion”), THE ADOPTION OF A NEW MEMORANDUM OF INCORPORATION
(“the MOI Adoption”) & THE REGISTRATION OF SPECIAL RESOLUTIONS
Shareholders are referred to the announcement released by the
Company on 13 August 2012, informing shareholders that the
timetable relating to the Share Capital Conversion and the MOI
Adoption as set out in Appendix 2 of the Company’s Annual
Integrated Report 2011, was no longer applicable as a result of a
delay by the Companies and Intellectual Property Commission
(“CIPC”) of the registration of the special resolutions relating
thereto.
Following the above, shareholders are hereby advised that the
Company has received confirmation from the CIPC that the said
special resolutions were registered on Monday, 3 September 2012.
Accordingly, shareholders are hereby advised that the Company’s
shares will commence trading as shares of no par value on or about
6 September 2012.
