Appointment of two Directors
In terms of Rules 3.59 to 3.62 of the JSE Limited Listings
Requirements, shareholders are advised that the Board of Pinnacle
has appointed two additional independent non-executive directors to
the Board with effect from 31 August 2012 as follows:
Ms Seadimo Chaba has been appointed to the Board of Pinnacle and to
its Audit and Risk Committee and its Social and Ethics Committee.
Ms Chaba is currently CEO and owner of Seadimo Chaba Consulting cc,
a management consultancy. Previously she was the HR Executive: Human
Capital Development at Sasol following a period as the Chief
Executive Officer for Creditworx (Pty) Ltd, a member of the Thebe
Investment Corporation group of companies. Before that she was
employed by the Gauteng Provincial Government as the Executive
Manager (DDG) for Public Works and Management Services and Chief
Director (HR) in the Premier’s Office. She holds a BA (Economics and
Industrial Psychology) and a Postgraduate Diploma in Human Resources
Management from the University of the Witwatersrand. She also has
completed the Senior Executive Programme at Wits and Harvard
Business Schools. Ms Chaba has vast experience in Business and
General Management as well as Human Resources Management both in the
Private and Public Sectors. She has worked at senior levels in
Government and the retail, financial, and the chemical industries.
She has extensive board experience and she currently sits as a non-
Executive Director on the Hitachi Power Africa (Pty) Ltd, Safrican
Insurance, Amispan (Pty) Ltd and Makotulo Investment (Pty) Ltd
Boards. She also serves on the Kgosi Neighbourhood Foundation Board,
a non-profit organisation. In 2002 she was awarded the Boss of the
Year title, the first woman to win the award in 13 years.
Mr Erhard van der Merwe has been appointed to the Board of Pinnacle
and to its Audit and Risk Committee. Mr van der Merwe has a MCom in
Business Management and is a Chartered Accountant (SA). He did his
articles at PricewaterhouseCoopers and worked for them as a senior
audit manager on large national and international clients until
1993. During his time with PwC he was seconded to the London office
for two years. He spent a further 13 years in the corporate finance
industry completing a number of local and international due
diligence, corporate advisory, merger and acquisition, JSE and SRP
transactions and assignments. He joined the Rolfes Group in 2006,
responsible for positioning that Group for a listing and completing
strategic acquisitions, and was appointed as CEO of the Rolfes Group
in 2007. He brings a wealth of business and corporate finance
experience in the listed environment.
