Shareholders are referred to the SENS announcement on
22 June 2012 relating to the terms of a specific repurchase
of shares from related parties (“specific repurchase”) and
are advised that the specific repurchase was conditional on
shareholder approval, which approval was obtained at the
general meeting of RGT SMART shareholders held on 22 August
2012 as detailed in a SENS announcement published on 23
August 2012.

Given that the related parties are directors of the
Company, in accordance with rules 3.63 – 3.74 of the JSE
Listings Requirements, the following dealings in the

SECTION 122 NOTIFICATION

As a result of the specific repurchase and in compliance
with section 122 of the Companies Act, 2008 (Nr. 71 of
2008), the following shareholders movement is disclosed:

  -   RGT Smart Operations (Pty) Ltd, a wholly-owned
      subsidiary of RGT SMART held nil shares in the Company
      prior to the specific repurchase and now holds
      44 132 200 shares as treasury shares amounting to 10%
      of the issued share capital of the Company;
  -   Dr N Bruton decreased his shareholding in RGT SMART
      from 6.75% to 3.12%; and
  -   Lightstone (Pty) Ltd, the controlling shareholder of
      the Company, increased its shareholding in RGT SMART
      from 66.09% to 74.88%.

All of the above have notified the Company of their
transactions using a TRP 121.1 form.  In addition, the
Company has filed a TRP 121.2 notification form with the
Takeover Regulation Panel as required in terms of the Act.
