NO CHANGE STATEMENT AND POSTING OF INTEGRATED ANNUAL REPORT

Erbacon shareholders are advised that the Company's 2012

integrated   annual  report,   containing   the  audited   annual

financial statements for the year ended 29 February 2012, will

be dispatched to shareholders today, Monday, 2 July 2012, and

contains no modifications to the audited condensed provisional

results which were announced on SENS on Thursday, 17 May 2012. A

copy of the integrated annual report has also been made

available on the Company's website at www.erbacon.co.za.

NOTICE OF ANNUAL GENERAL MEETING

Notice is hereby given that the Annual General Meeting of

Erbacon will be held at the offices of Erbacon, Block 3, Unit 6,

The Willows Office Park, 276 George Road, Erand Gardens,

Midrand, Gauteng, South Africa, 1685, on Tuesday, 31 July 2012

at 10:00 to transact the business as set out in the notice of

the Annual General Meeting which forms a part of the integrated

annual report. The date on which shareholders must be recorded

as such in the share register to be eligible to vote at the

Annual General Meeting will be Friday, 27 July 2012, with the
last day to trade being Friday, 20 July 2012.
