APPOINTMENT OF AN INDEPENDENT NON-EXECUTIVE DIRECTOR                            
The Board of Directors of MTN Group ("the Board") is pleased to announce the    
appointment of Mr Fani Titi (South Africa) as an Independent Non-Executive      
Director, with effect from 1 July 2012.                                         
A brief resume of Mr Titi is set out below.                                     
Education Qualifications:                                                       
B.Sc Hons (Mathematics), University of Fort Hare                                
MA (Mathematics), University of California, Berkeley                            
MBA *Wits Business School)                                                      
Mr Titi is a former executive director of ABIL Limited and founding CEO of      
Kagiso Media Limited and founding director of Kagiso Trust Investment (Pty)     
Limited.  He was also the founding Chairman of the private equity firm Tiso     
Group (Pty) Limited.                                                            
He previously served as non-executive Deputy Chairman of the Bidvest Group      
Limited and AECI Limited. Also previously a member of the board of Kumba        
Resources Limited as well as boards of numerous private and JSE top 100         
companies.                                                                      
He is currently a non-executive Chairman of Investec Bank Limited, and joint    
Chairman of Investec Limited and Investec Plc.  He is a director and investor in
the private equity firm Tsiya Group (Pty) Limited.                              
Mr Titi has 20 years experience in the private equity and banking sectors, and  
general business.  He has served on audit, remuneration and nomination          
committees of boards over this period.  He offers seasoned judgement on issues  
of corporate governance, corporate performance, strategy formulation and        
implementation and leadership.
