FULFILMENT OR WAIVER OF CONDITIONS PRECEDENT
Fulfilment or waiver of conditions precedent - Acquisition by Barloworld and
certain of its subsidiaries of the Bucyrus distribution and support
businesses from Caterpillar Global Mining LLC and certain of its
subsidiaries ("Caterpillar") and Eqstra Holdings Limited and certain of its
subsidiaries ("Eqstra").
Further to the announcement dated 30 May 2012 regarding the acquisition by
Barloworld and certain of its subsidiaries of the Bucyrus distribution and
support businesses from Eqstra and Caterpillar, shareholders are advised
that:-
- the conditions to which the acquisition by Barloworld and certain
of its subsidiaries of the Bucyrus distribution and support
businesses from Eqstra ("Eqstra Acquisition") was subject,
including the approval of the South African competition authority,
have been fulfilled or waived. The Eqstra Acquisition will be
implemented on 29 June 2012;
- Upon implementation of the Eqstra Acquisition all of the
conditions to which the acquisition by Barloworld and certain of
its subsidiaries of the Bucyrus distribution and support
businesses from Caterpillar is subject, including the approval of
the South African competition authority, will have been fulfilled
or waived, in which event the Caterpillar Acquisition will be
implemented on 2 July 2012.
