NO CHANGE STATEMENT                                                             
Shareholders are advised that the Pick n Pay consolidated annual financial      
statements (Annual Report) for the year ended 29 February 2012 has been posted  
to shareholders today, and contains no modifications to the reviewed condensed  
consolidated results ("results") published on 18 April 2012.                    
The Annual Report will be available on our website www.pnp.co.za as from 21 May 
2012.                                                                           
KPMG Inc. has now completed their audit of the Company and Group annual         
financial statements of                                                         
Pick n Pay Holdings Limited. Their unqualified audit report is presented in the 
annual report and is available for inspection at the registered office of the   
Company.                                                                        
NOTICE OF THE ANNUAL GENERAL MEETING                                            
The notice of the annual general meeting will be posted to shareholders today,  
included with the Annual Report. The annual general meeting of Pick n Pay will  
be held at 09h30, or as soon as the annual general meeting for Pick n Pay Stores
Limited is completed, on Friday, 15 June 2012 in the conference center of the   
registered office, Pick n Pay Office Park, 101 Rosmead Avenue, Kenilworth, Cape 
Town, 7708, to transact business as stated in the notice of the annual general  
meeting.  A videoconferencing link to the annual general meeting in Cape Town   
will be available in the conference centre at Pick n Pay Office Park, 2 Allum   
Road, Kensington, Johannesburg.
