ZSA - Zurich Insurance Company South Africa Limited - Change in shareholding in Zurich Insurance Company South Africa Limited Zurich Insurance Company South Africa Limited (Incorporated in the Republic of South Africa) (Registration number 1965/006764/06) Share code: ZSA ISIN: ZAE000094496 ("Zurich South Africa" or "the Company") CHANGE IN SHAREHOLDING IN ZURICH INSURANCE COMPANY SOUTH AFRICA LIMITED A mutually agreed transaction has been concluded between Zurich South Africa`s major shareholders in terms of which SA Fire House Limited (a subsidiary of Zurich Insurance Company Limited, Switzerland)("Zurich") has acquired shares constituting 25.1% of the issued share capital of the Company from Royal Bafokeng Finance (Proprietary) Limited (a company wholly owned by Royal Bafokeng Holdings) ("RBH"). The transaction will increase the shareholding of Zurich in the Company to 84.05%. Zurich South Africa will remain a strong supporter of RBH`s socio-economic development programmes and remains fully committed to supporting Black Economic Empowerment and transformation. The transaction is subject to the fulfilment of all regulatory approvals required in South Africa, including that of the Financial Services Board. A further announcement will be made when the conditions precedent have been fulfilled and the transaction is to be implemented.
