Holders of Nedbank Perpetual Preference Shares (`Nedbank Perpetual Preference   
Shareholders`), Nedbank ordinary shares (`Nedbank Ordinary Shareholders`) and   
Nedbank A and B preference shares (collectively `Shareholders`)are advised      
that, at the class meeting of Nedbank Perpetual Preference Shareholders held    
on Thursday, 3 May 2012, the ordinary resolution authorising the combined       
general meeting of Nedbank Perpetual Preference Shareholders and Nedbank        
Ordinary Shareholders (`the Combined General Meeting`)to approve the amendment  
of article 44.5 of the memorandum of incorporation of the Company (`the         
Special Resolution`)was passed by the requisite majority of Nedbank Perpetual   
Preference Shareholders present in person or represented by proxy.              
Results of combined general meeting                                             
Shareholders are further advised that, at the Combined General Meeting held on  
Thursday, 3 May 2012, the Special Resolution was passed by the requisite        
majority of Nedbank Perpetual Preference Shareholders and Nedbank Ordinary      
Shareholders present in person or represented by proxy.
