AMENDMENT TO THE INTERIM DIVIDEND ANNOUNCEMENT ON SHOPRITE HOLDINGS LIMITED     
HOT ENHANCED DIVIDEND SECURITIES - ("SHPIHD") MADE ON 11 APRIL 2012             
The Directors of Shoprite Holdings Limited have declared an interim dividend    
of 109 cents payable on Monday, 30 April 2012 to ordinary holders recorded in   
the books of the company at the close of business on Thursday, 26 April 2012.   
In terms of the new Dividend Tax effective 1 April 2012, the following          
additional information is disclosed:                                            
1)   local dividend tax rate is 15%;                                            
2)   STC credits utilised is 21.7714 cents per share;                           
3)   net local dividend amount is 95.9157 cents per share for shareholders      
    liable to pay the new Dividends Tax and 109 cents per share for             
    shareholders exempt from paying the new Dividends Tax;                      
4)   the issued share capital of Shoprite Holdings Limited is 570 579 460       
ordinary shares; and                                                        
5)   Shoprite Holdings tax reference number is 9775/112/71/8                    
Accordingly, the holders SHPIHD will receive a Shoprite Holdings Limited        
interim dividend amount per security on, Monday, 30 April 2012 in terms of      
the Cession clause incorporated in the Supplement between the holders and       
Investec Bank Limited.  The last day to trade ("cum" the interim dividend) in   
order to participate in the interim cash dividend will be Thursday, 19 April    
2012.                                                                           
SHPIHD Hot Enhanced Dividend Securities will commence trading "ex" the          
interim dividend from the commencement of business on Friday, 20 April 2012,    
and the record date will be Thursday, 26 April 2012.
