NOTICE OF EXTRAORDINARY GENERAL MEETING                                         
Notice is hereby given to all the Members, Directors and Auditors of Brait SE   
of an Extraordinary General Meeting ("EGM")of the Company to be held at Avantech
Building (4th floor), St Julian`s Road, San Gwann, SGN 2805, Malta on 30 March  
2012 at 14:00 CET to consider and, if deemed fit, pass the resolutions set out  
below:                                                                          
ORDINARY RESOLUTIONS                                                            
-    Appointment of the auditor, Deloitte Audit Limited.                        
-    Appointment of a new director, Ms Rita Schembri.                           
EXTRAORDINARY RESOLUTION                                                        
-    Amendments to the Memorandum and Articles of Association as follows:       
    -    update the Memorandum of Association in order to reflect certain       
         changes which have taken place since the transfer of the Company`s     
registered office to                                                   
    -    Malta; and amend the Articles of Association in order to allow the     
         Company to request certain information in relation to the beneficial   
         holders of its shares.                                                 
Accordingly the salient dates in respect of the EGM are as follows:             
Record date to determine which shareholders are   Friday, 2 March 2012          
entitled to receive the notice of EGM                                           
Last day to trade in order to be eligible to      Thursday, 15 March 2012       
participate and vote at the EGM                                                 
Record date to determine which shareholders are   Friday, 23 March 2012         
entitled to participate and vote at the EGM                                     
Forms of proxy for the EGM to be lodged at the    Thursday, 29 March 2012       
address mentioned above by no later than 14h00                                  
(CET) on*                                                                       
*    any proxies not lodged by this time must be handed to the chairperson of   
    the EGM immediately prior to the EGM.
