RESULTS OF THE ANNUAL GENERAL MEETING ("AGM")                                   
Shareholders are advised that all of the ordinary and special resolutions       
proposed at the AGM of Afrocentric held on 18 January 2012, were approved by the
requisite number of shareholders.                                               
Special resolution number 3 relating to fees payable to non-executive directors 
was approved with a modification at R120 000 for the year commencing 1 February 
2012. As in previous years, non-executive directors J. M. Kahn, B. Joffe and    
M.I. Sacks waived their fees.                                                   
The special resolutions, where applicable, will be filed with the Companies and 
Intellectual Property Commission in due course.
