GDO - Gold One International Limited - ASX Listing Rule 3.4.2 information post A$0.55 per share cash offer Gold One International Limited Registered in Western Australia under the Corporations Act, 2001 (Cth) with registration number ACN: 094 265 746 (Registered in South Africa as an external company with registration number 2009/000032/10) ISIN: AU000000GDO5 Share Code on the ASX/JSE: GDO OTCQX International: GLDZY ("Gold One" or the "company") ASX LISTING RULE 3.4.2 INFORMATION POST A$0.55 PER SHARE CASH OFFER Gold One is pleased to confirm that, further to the announcements released by the Company on Thursday, 8 December 2011, 23 December 2011 and 30 December 2011, respectively, relating to the introduction of a consortium of Chinese investors (the "Consortium") as a major shareholder and long term strategic partner of Gold One, the Consortium completed a cash offer of A$0.55 per existing Gold One share and a minimum A$150 million capital injection into Gold One (the "Transaction"). Because compulsory acquisition will not proceed under Part 6A.1 of the Corporations Act 2001 (Cth), and in accordance with ASX Listing Rule 3.4.2, the top 20 shareholders and top 20 holders of listed options (as set out in ASX Listing Rule 4.10.9) and the final distribution schedules of shareholders and holders of listed options (as set out in ASX Listing Rule 4.10.7) post the completion of the Transaction are set out below.
