RAR - Rare Holdings Limited - Results of the Annual General Meeting ("the AGM"), The special General Meeting ("the General Meeting") & changes to the board of directors ("the board") RARE HOLDINGS LIMITED (Incorporated in the Republic of South Africa) Registration Number: 2002/025247/06 Share Code: RAR ISIN: ZAE000092714 ("Rare" or "the Company") RESULTS OF THE ANNUAL GENERAL MEETING ("the AGM"), THE SPECIAL GENERAL MEETING ("the General Meeting") & CHANGES TO THE BOARD OF DIRECTORS ("the Board") RESULTS OF THE AGM 1 Shareholders are advised that all the ordinary and special resolutions proposed in the Notice of Annual General Meeting, which meeting was held on 13 December 2011 at 10h00, were passed by the requisite majorities of shareholders present and represented by proxy and being entitled to vote at the AGM held earlier yesterday (with ascending voting percentages ranging from 96.7% to 100.0%). 2 Shareholders and/or their representatives holding or representing 76.1% of the issued share capital and being eligible to attend and vote, were present or represented at the AGM. RESULTS OF THE GENERAL MEETING 3 Shareholders are advised that all the ordinary and special resolutions proposed in the Notice of General Meeting, which meeting was held on 13 December 2011 at 12h00, were passed by the requisite majorities of shareholders present and represented by proxy and being entitled to vote at the AGM held earlier yesterday (with ascending voting percentages ranging from 96.7% to 100.0%). 4 Shareholders and/or their representatives holding or representing 76.1% of the issued share capital and being eligible to attend and vote, were present or represented at the AGM. 5 The special resolutions relating to the: 5.1 conversion of the Company`s par value shares into no par value shares; 5.2 subsequent increase of the unissued but authorised share capital of the Company; and 5.3 amendments to the Company`s Memorandum of Incorporation (previously referred to as the Articles of Association) have been lodged for registration with the Registrar of Companies and shareholders will be informed as soon as the special resolutions concerned have been registered. CHANGES TO THE BOARD 6 In compliance with paragraph 3.59(a) and 3.59(b) of the Listings Requirements of the JSE Limited, shareholders are hereby informed of the appointment of Alwyn Reginald Martin ("Alwyn") as non-executive director to the board with effect from 13 December 2011. Alwyn obtained a B.Comm degree from the University of Cape Town. He was one of the first Black persons to qualify as a Chartered Accountant and was founder partner of the first Black Chartered Accounting firm in South Africa. He then became a partner with Ernst & Young whereafter he was appointed chairman of Vodacom and served as a director on the board of Telkom. He was appointed Chief Executive Officer of Siemens Telecommunications and after retiring in 2002 has been serving as non-executive director on various boards, including Petmin, Datacentrix Holdings, Mediclinic SA and Northam Platinum Limited. 7 The Board wishes to welcome Alwyn and looks forward to his contributions to the Company.
