MNY - Moneyweb Holdings Limited - Results of the Annual General Meeting and changes to the board MONEYWEB HOLDINGS LIMITED (Incorporated in the Republic of South Africa) (Registration number 1998/025067/06) JSE code: MNY ISIN: ZAE000025409 ("the company") RESULTS OF THE ANNUAL GENERAL MEETING AND CHANGES TO THE BOARD The board of directors of the company advise that, at the Annual General Meeting of shareholders held at the Head Office of the company on 9 November 2011, the ordinary and special resolutions as set out in the notice of Annual General Meeting contained in the company`s 2011 Annual Financial Statements were duly passed by the requisite majority votes. Edwin Jay and Louise Hogg have not made themselves available for re-election as non-executive directors to the Moneyweb board at the Annual General Meeting and therefore have resigned as non-executive directors with effect from 9 November 2011. Trevor Ncube has stepped down as chairman of the audit committee with effect from 9 November 2011. He will remain as a non-executive director and a member of the audit committee. Wessel van der Merwe has been appointed as non-executive director with effect from 9 November 2011 and will also assume the roles of chairman of the audit committee and lead independent director. Wessel holds a B.Com Honours degree in Accounting from the University of Johannesburg (previously known as RAU) and is a Chartered Accountant (SA). He has served as a member of the AltX Advisory Committee since 2007 and previously headed a corporate advisory business for more than 14 years. His other directorships include Skinwell Holdings Ltd, Taste Holdings Ltd and Alert Steel Holdings Ltd.
