Introduction UCS shareholders ("Shareholders") are advised that at the duly constituted general meeting of Shareholders held on 22 September 2011, all the ordinary and special Shareholder resolutions pertaining to, inter alia, the proposed scheme of arrangement ("the Scheme"), the delisting of the UCS shares from the exchange operated by the JSE Limited and UCS` proposed name change ("the Name Change"), were passed by the requisite majority of Shareholders present or represented by proxy. The special resolutions will be lodged, where necessary, for registration with the Companies and Intellectual Property Commission. It is expected that the Name Change will become effective on or about Tuesday, 25 October 2011. 2. Remaining conditions precedent to the Scheme The Scheme remains conditional upon, inter alia, the election by certain Shareholders of the continuation election in terms of the Scheme and the issue of a compliance certificate by the Takeover Regulation Panel for purposes of giving effect to the Scheme. Shareholders will be advised of the status of the completion of the remaining conditions precedent to the Scheme in due course.
