RESULTS OF THE RESOLUTION OF ORDINARY SHAREHOLDERS IN TERMS OF SECTION 60 OF THE
COMPANIES ACT, 71 OF 2008, AS AMENDED ("COMPANIES ACT") IN RESPECT OF POTENTIAL 
FINANCIAL ASSISTANCE IN TERMS OF SECTION 45                                     
Shareholders are referred to the announcement released on SENS on 6 July 2011,  
regarding the special resolution relating to the provision of financial         
assistance to related or inter-related companies in terms of section 45 of the  
Companies Act ("Special Resolution").                                           
The Special Resolution was submitted to the shareholders of Murray & Roberts on 
11 July 2011 for consideration, and to be voted on in terms of section 60 of the
Companies Act.                                                                  
Shareholders are advised that 77.83 percent of all voting rights entitled to be 
exercised in respect of the Special Resolution were submitted in writing to the 
transfer secretaries of Murray & Roberts in terms of section 60 of the Companies
Act, and that the Special Resolution was supported by the written consent of    
98.07 percent of the voting rights so submitted and exercised in respect        
thereof.                                                                        
Accordingly the Special Resolution was adopted by Murray & Roberts in terms of  
section 60(2) of the Companies Act.                                             
Murray & Roberts will deliver a statement describing the results of the vote, in
accordance with section 60(4) of the Companies Act, to shareholders registered  
in the Company`s register of shareholders on 12 August 2011, being the record   
date on which such shareholders were required to be registered in the Company`s 
register of shareholders in order to be entitled to vote on the Special         
Resolution.
