REPORT ON PROCEEDINGS AT SHAREHOLDERS` MEETING                                  
At the shareholders` meeting of Datatec (JSE and LSE: DTC), held at             
14h00 today, 3 August 2011, both the special resolutions and the                
ordinary resolution, as proposed in the notice to the shareholders`             
meeting, were passed with the requisite majority of votes.                      
The resolutions give the directors of Datatec the authority to:                 
1)   provide financial assistance to Group companies, being subsidiary          
    and associate companies of the Company, subject to the                      
    requirements of the Companies Act 71 of 2008 and with an overall            
limit of US$ 100 million; and                                               
2)   pay fees to non-executive directors as recommended by the                  
    Company`s Remuneration Committee.
