Grindrod Limited shareholders are advised that at the Special General Meeting of
shareholders held on 20 July 2011, the special resolution pertaining to the     
provision of financial assistance to companies or corporations which are related
or inter-related to the Company, as set out in the notice posted to shareholders
on 9 June 2011, was duly approved by the requisite majority of Grindrod         
shareholders.
