MPACT LIMITED LISTING AND DEMERGER FINALISATION ANNOUNCEMENT
Reference is made to the pre-listing statement, dated Tuesday, 31 May 2011, and
the abridged pre-listing statement released on Tuesday, 31 May 2011, relating to
the demerger of Mpact by way of a dividend in specie from Mondi Limited to Mondi
Limited Ordinary Shareholders (the "Demerger") and the listing of all of Mpact`s
issued ordinary shares of no par value ("Mpact Shares") by way of introduction
(the "Listing") on the Main Board of the securities exchange operated by the JSE
Limited ("JSE"), with effect from the commencement of business on Monday, 11
July 2011 (the "Date of Listing").
At the Mondi Limited General Meeting held on Thursday, 30 June 2011 at 12.00
p.m. (South Africa), and the Mondi plc General Meeting held on Thursday, 30 June
2011 at 11.00 a.m. (United Kingdom) (the "Meetings"), all of the resolutions,
relating to the Listing and Demerger, proposed at the Meetings (the
"Resolutions"), were approved by the requisite majority of votes.
The Listing and Demerger were conditional on the passing of the Resolutions
("Demerger Conditions Precedent"). Accordingly, the Demerger Conditions
Precedent have been fulfilled in every respect and the Demerger and Listing will
progress in accordance with the salient dates and times set out below.
