MUR - Murray & Roberts Holdings Limited - Appointment of financial director MURRAY & ROBERTS HOLDINGS LIMITED (Incorporated in the Republic of South Africa) (Registration number: 1948/029826/06) Share Code: MUR ISIN: ZAE000073441 ("Murray & Roberts" or "Group") APPOINTMENT OF FINANCIAL DIRECTOR Further to the announcement by the board of directors ("Board") of Murray & Roberts on 23 February 2011 relating to the retirement of Mr Roger Rees on 30 June 2011 as executive financial director, the Board is pleased to announce the appointment of Mr Cobus Bester to the Board as executive financial director of Murray & Roberts with effect from 1 July 2011. This follows an extensive external and internal executive search. Mr Bester is a Chartered Accountant with over 22 years experience in the construction and engineering industry. He was the group financial director for Basil Read and Concor Limited ("Concor") for 3 and 6 years respectively and was appointed managing director of Concor in 2005. Concor was acquired by Murray & Roberts in 2006 and subsequently delisted from the JSE Limited. Mr Bester has been a director of Murray & Roberts Limited since 2007. CHANGE TO BOARD COMMITTEES Effective 1 July 2011: * Mr William Nairn will succeed Mr Alan Knott-Craig as chairman of the Health, Safety & Environment Committee ("Committee"). Mr Knott-Craig will continue to serve as a member of the Committee. In addition, Mr Henry Laas will succeed Mr Brian Bruce as a member of the Committee; and * Mr Knott-Craig has been appointed a member of the Audit & Sustainability Committee. CHANGE IN DIRECTORSHIP OF SUBSIDIARY COMPANY MURRAY & ROBERTS LIMITED Messrs Brian Bruce and Roger Rees will retire as directors of Murray & Roberts Limited effective 30 June 2011. Messrs Peter Adams, Nigel Harvey, and Frank Saieva have been appointed directors of Murray & Roberts Limited effective 1 July 2011. Mr Nigel Harvey will assume executive responsibility for the Murray & Roberts construction businesses in SADC and Middle East as well as Murray & Roberts Marine. Mr Peter Adams continues with his executive responsibility for the Cementation mining contracting business. Mr Frank Saieva will join the Group on 1 July 2011 and will have executive responsibility for the Engineering businesses in SADC, including the Power Program.
