In terms of the memorandum of incorporation of Capitec, one third of the non- executive directors are required to retire by rotation at each annual general meeting. Mr Solms was due to retire by rotation at the above stated annual general meeting of Capitec. He will retire from the boards of the companies at the close of the said annual general meeting of Capitec.
