BCX - Business Connexion Group Limited - Fulfilment of conditions precedent Business Connexion Group Limited (Incorporated in the Republic of South Africa) (Registration number 1988/005282/06) Ordinary share code: BCX ISIN: ZAE000054631 "A" share code: BCA ISIN: ZAE000156154 ("BCX") FULFILMENT OF CONDITIONS PRECEDENT Shareholders are referred to various announcements released on the Securities Exchange News Service (SENS) of the JSE Limited ("JSE") and the circular to shareholders dated 9 March 2011 ("the Circular") relating to the proposed acquisition by BCX of the shares and claims in certain underlying subsidiaries of UCS Group Limited ("UCS") from UCS ("the Acquisition"). In this regard, shareholders are advised that all conditions precedent to the Acquisition have now been fulfilled and accordingly, 101 243 118 ordinary shares and 25 033 334 "A" ordinary shares will be issued to UCS and listed on the JSE with effect from the commencement of business on Wednesday 11 May 2011. Further, the 75 100 000 "A" ordinary shares already issued in the share capital of BCX will also be listed on the JSE with effect from the commencement of business on Wednesday 11 May 2011, further details of which are outlined in the abridged pre-listing statement announcement of Wednesday, 4 May 2011.
