APPOINTMENTS OF LEAD INDEPENDENT DIRECTOR AND CHAIRMAN OF NOMINATIONS,          
REMUNERATION, HUMAN RESOURCES COMMITTEE OF MTN GROUP LIMITED                    
The Board of Directors of MTN Group Limited ("MTN") is pleased to announce the  
following appointments:                                                         
Mr Alan Francis van Biljon, an independent non-executive director of MTN, has   
been appointed Lead Independent Director with immediate effect.  Mr van Biljon, 
a qualified chartered account, has been an independent non-executive director of
MTN since November 2002 and is the current Chairman of the Audit Committee.  The
position of Lead Independent Director is new at MTN and was created to further  
embed the culture of independence of the Board of Directors especially in       
instances of perceived conflict of interest.  The Board of Directors believes   
that Mr van Biljon`s corporate experience and leadership will contribute        
immensely in his supportive role to the Chairman and the Board.                 
Mr Alan Harper (United Kingdom), an independent non-executive director and      
member of the Nominations, Remuneration, Human Resources Committee and Corporate
Governance Committee ("Remco") of MTN since 1 January 2010, has been appointed  
Chairman of the Remco with immediate effect. Mr Harper succeeds Mr Douglas Band 
who was the Remco Chairman until his resignation from the Board on 11 March     
2011.  Mr Harper has extensive experience in the corporate environment and his  
previous appointments included the role of Group Strategy and Business          
Development Director for Vodafone PLC from 2000 to 2007.                        
The Chairman and the Board of Directors congratulate Messrs van Biljon and      
Harper on their appointments.
