WTL - William Tell Holdings Limited - Update on upcoming general meeting to be held on 16 February 2011 - Voluntary Announcement WILLIAM TELL HOLDINGS LIMITED (Incorporated in the Republic of South Africa) (Registration number: 2004/030045/06) JSE code: WTL ISIN: ZAE000098133 ("the Company") UPDATE ON UPCOMING GENERAL MEETING TO BE HELD ON 16 FEBRUARY 2011 - VOLUNTARY ANNOUNCEMENT Shareholders are referred to the announcement released on SENS on 2 February 2011 regarding the posting of a circular, dated 1 February 2011, containing details of a proposed increase in the general authority of directors to issue ordinary shares in the share capital of the Company for cash from up to a maximum of 5% of the total number of issued shares (as previously approved by shareholders) to up to a maximum of 50% of the total number of issued shares ("the increased authority") ("the circular"). The circular includes a notice of a general meeting of shareholders, convened for Wednesday, 16 February 2011 at 09:00 at 31 Van Eck Street, Chamdor, Krugersdorp for the purpose of considering, and if deemed fit, passing with or without modification, the resolutions pertaining to the increased authority. Shareholders are hereby advised that Ordinary Resolution Number 1 included in the aforementioned notice of general meeting has been modified to limit the proposed increased authority to a maximum of 10% of the total number of issued shares.
