GPL - Grand Parade Investments Limited - Changes to the board of Directors and Company Secretary Grand Parade Investments Limited (Incorporated in the Republic of South Africa) (Registration number: 1997/003548/06) Share code: GPL ISIN: ZAE000119814 ("GPI" or "the company") CHANGES TO THE BOARD OF DIRECTORS AND COMPANY SECRETARY In compliance with section 3.59(b) of the Listings Requirements of the JSE Limited ("JSE Listings Requirements"), notification is hereby given that Mr. Richard Julian Hoption ("Richard") has resigned as Financial Director and Company Secretary of GPI with immediate effect. The board expresses its appreciation for Richard`s commitment and extensive contribution to the company during his tenure. Richard was appointed as Financial Director to build GPI`s finance function and with a view to mentoring a potential successor. Having successfully fulfilled both these objectives Richard will step down as Financial Director but will continue to service GPI on a consultancy basis. In compliance with sections 3.84 (h), 4.8(b) and 7.F.6 of the JSE`s Listings Requirements, notification is hereby given of the following new appointments to the board of GPI - Sukena Petersen ("Sukena") as the new Financial Director. Sukena is a qualified chartered accountant, completing her articles at Ernst and Young in 2005. She remained with the firm for a further 3 years post articles before accepting the position of group financial manager at GPI. During her time at Ernst and Young, Sukena was exposed to a wide range of businesses such as investment companies, medical aid schemes, oil and construction companies. This experience provided her with a solid basis for her role as group financial manager at GPI where she has been part of the executive management team. She has played a key part in the development of GPI`s financial accounting and reporting. The experience gained as the group financial manager and the involvement as a key executive manager provided Sukena with the foundation that will assist her in performing her role as the financial director. Lazelle Christian Parton ("Lazelle") as the new Company Secretary. Lazelle is an experienced regulator with over 20 years` legal and compliance experience in both the public and private sectors. As a political science graduate, Lazelle has extensive experience as a policy maker and in stakeholder negotiation in the public sector. She has been an integral member of the senior executive management team in GPI`s (recently acquired) limited payout machine operations and prior to that was a Director in the office of the Premier, KwaZulu-Natal, responsible for gambling legislation and policy development. Dhanasagree Naidoo ("Daisy") as an Independent Non-Executive Director. Qualified as a C.A.(S.A.) with a Masters degree in Accounting, Daisy has extensive experience in finance, tax, debt structuring and risk management. Her early career experience is in financial planning (SA Breweries) and as a tax consultant (Deloitte and Touche). She later joined Gensec Bank Limited, now Sanlam Capital Markets Limited ("SCM"), where she gained invaluable experience in financial services, and investment banking, debt structuring and dealmaking. She has been a director on various boards in the SCM Group, as well as the SCM Manco. Daisy is currently chief risk advisor to the board of Vantage Mezzanine Funds 1 and 2, which have significant investments locally, in Pan Africa and North America; and is a director of the Association of Black Securities and Investment Professionals. Mogamat Faldi Samaai ("Faldi") as a Non-Executive Director. Faldi is a qualified Civil Engineer with a long track record (over 30 years) in Civil Engineering design and construction management. In addition to his technical skills, he also has a comprehensive combination of business and managerial experience having been responsible for setting up and maintaining financial and human resource management systems for Nadeson Consulting Services. Faldi is passionate about the management of environmentally sustainable projects and was responsible for managing the sustainability elements of the Cape Town FIFA Fan Fest during the FIFA 2010 World Cup as well as the Witsand Eco- Housing project.
