AIP - Adcock Ingram Holdings Limited - Changes to directors` responsibilities Adcock Ingram Holdings Limited (Registration number 2007/016236/06) (Incorporated in the Republic of South Africa) Share code: AIP ISIN: ZAE000123436 ("Adcock Ingram" or "the Company") CHANGES TO DIRECTORS` RESPONSIBILITIES In compliance with paragraph 3.59(c) of the Listings Requirements of the JSE Limited, shareholders are advised that: - Mr L.E. Schonknecht has resigned as Chairman of the Human Resources, Remuneration and Nominations Committee. However, he will continue to serve the board as an independent non-executive director and member of the Risk and Sustainability Committee; - Mr C.D. Raphiri, an independent non-executive director, will assume the role of Chairman of the Human Resources, Remuneration and Nominations Committee; and - Mr A.M. Thompson, an independent non-executive director, has been appointed to the Human Resources, Remuneration and Nominations Committee. Mr Thompson remains a member of the Audit Committee and Transformation Committee. The changes set out above are effective 28 January 2011, and are being implemented inter alia to accommodate Mr Schonknecht`s increased personal business commitments and executive responsibilities at his own company.
