VUN - Vunani Limited - Issue of shares pursuant to the purchase consideration relating to the acquisition of a stake in Edge Holding Company (Proprietary) Limited In 2008 VUNANI LIMITED (Incorporated in the Republic of South Africa) (Registration number 1997/020641/06) JSE code: VUN ISIN: ZAE000110359 ("Vunani") ISSUE OF SHARES PURSUANT TO THE PURCHASE CONSIDERATION RELATING TO THE ACQUISITION OF A STAKE IN EDGE HOLDING COMPANY (PROPRIETARY) LIMITED IN 2008 Shareholders are referred to the announcements, dated 10 June 2008 and 19 June 2008, relating to the acquisition of an additional 35% stake in Edge In terms of the agreement, the purchase consideration clause contained a provision that an additional maximum amount of R43.75 million would be payable ("agterskot") subject to a formula relating to the funds under Edge`s management growing to a certain level by 28 February 2009. Shareholders are advised that an additional amount of R27.75 million is payable in terms of this "agterskot" which will be settled by the allotment and issue of 114 367 925 Vunani shares at an issue price of 24.2647 cents each to the Edge acquisition vendors. Application will be made to the JSE Limited for the listing of these shares.
